  • A power supplies legal authority: account access or request reassignment does not.
  • Scope and capacity matter: the attorney must act within the effective power and use the required execution form.
  • Creating the power is separate: its formalities may differ from signing a later document under it.

What is signing under power of attorney?

Signing under power of attorney means executing a document on another person’s behalf using authority granted by a legally effective power of attorney. The person granting the power is commonly called the principal or donor; the attorney acts within the power’s scope. In US usage, this representative is often called an agent or attorney-in-fact; they do not have to be a lawyer.

The attorney’s legal authority is separate from their identity, account permissions or ability to open a signing link. Forwarding or reassigning a request does not create a power of attorney.

What must the authority cover?

  • Validity and effectiveness: the power must be valid and operative for the proposed act.
  • Scope and restrictions: check the transaction, any limits, conditions and required joint action.
  • Execution capacity: the document must identify the appropriate representative capacity in the legally required manner.
  • Additional formalities: witnessing, notarization, deed or registry conditions may still apply.

The required signing form depends on the jurisdiction and instrument. Do not simply impersonate the principal or assume that using their saved signature image establishes valid representative execution.

How does electronic signing change the question?

Electronic signing changes the medium, not the source or extent of the attorney’s authority. For relevant England and Wales land transactions, HM Land Registry’s execution guidance addresses execution under a power and the evidence and execution forms that may be required. It is not a rule for every power of attorney worldwide.

The Law Commission’s electronic-execution statement likewise makes applicable formalities part of the analysis. A document requiring execution as a deed may also need a compliant witnessing process or notarial act.

Is creating the power the same transaction?

No. Creating or registering the power of attorney can have its own requirements or electronic-form exclusions. Permission to sign a later document under an existing power does not establish that the power itself can be created using the same method. Consent to electronic records also does not confer representative authority.

A Common Case: Identifying a representative’s signing capacity

A Washington professional-services firm receiving a document from a client’s attorney-in-fact can request appropriate evidence of authority and confirm the representative capacity used for execution. The review concerns the existing power and transaction, not simply whether the recipient can access an electronic signing link.

FAQs

Can an attorney-in-fact sign electronically?

Стрелка навигационной панели

That depends on the applicable law, the effective power’s scope and the document’s execution requirements. Electronic access alone does not establish authority or remove formalities.

Should an attorney copy the principal’s signature?

Стрелка навигационной панели

Do not assume so. The required execution form must identify the legally appropriate representative capacity; copying a signature image does not prove authority or proper execution.

Does reassigning an electronic signature request create a power of attorney?

Стрелка навигационной панели

No. Reassignment routes a request to another person; legal authority must come from a separate valid source.
