Cross-Border Electronic Signing Checklist

Cross-Border Electronic Signing Checklist

Plan business signatures involving US, EU and Swiss parties. Check document requirements, authority, qualified-signature recognition and evidence.

  • Determine the document’s requirements first; a signer’s location alone does not choose the required method.
  • EU and Swiss qualified signatures are separate regimes; do not assume automatic mutual recognition.
  • Confirm signing authority and any witnessing, notarial or receiving-body requirements independently of identity verification.
  • Choose the approved process and retain the completed record with the evidence required for later review.

How do you plan an electronic signing process across borders?

Start with the document’s requirements, not the signers’ addresses. When US, EU and Swiss parties sign a business agreement, identify the applicable law, required form, each person’s authority and the evidence the recipient needs. Then choose an execution process that fits those requirements.

A US company does not automatically need an EU qualified electronic signature because its customer is in the EU. Conversely, an ordinary electronic signing process does not automatically satisfy a document that requires a particular qualified signature or another formality. The document type, applicable rules and parties’ approved requirements determine the answer.

Separate the US, EU and Swiss questions

ContextQuestion to resolveEvidence to retain
US business transactionDoes the applicable law permit this electronic process, and are any consent or document-specific requirements met?Approved process and a reproducible completed record; check relevant federal and state requirements.
EU qualified signature requirementDoes the signature meet the applicable eIDAS qualified requirements, rather than merely using an EU-based platform? The signature, certificate and validation information needed to establish the required status.
Swiss qualified signature requirementDoes the signature meet the Swiss requirements, including the required qualified certificate and time stamp?Evidence of the applicable Swiss-qualified process and the completed record.
EU and Swiss requirements togetherWhich requirement applies to each document or signing act, and does the proposed execution satisfy both where necessary? The approved execution approach and evidence for each relevant regime; do not infer mutual recognition.

For US transactions, ESIGN generally prevents denial of legal effect solely because a signature or record is electronic, while preserving other legal requirements and specific conditions. Use the US electronic-signature law overview for that framework; it is not a universal waiver of foreign or document-specific requirements.

Under eIDAS, EU qualified electronic signatures have a defined legal status. The European Commission’s eSignature FAQ explains qualified signatures, their handwritten-signature equivalence and recognition across EU Member States. This does not mean every transaction needs QES or that every electronic signature is qualified.

Do EU and Swiss qualified signatures recognize each other?

Do not assume automatic equivalence between an EU QES and a Swiss QES. Switzerland’s OFCOM electronic-signature guidance, checked on November 5, 2026, states that no mutual-recognition agreement has been concluded with the EU or another third country. A foreign qualified certificate is therefore not automatically equivalent to one under Swiss law, and a Swiss QES is not automatically equivalent abroad.

The Swiss ZertES framework has its own recognized-provider and qualification requirements. Similar technology or a provider operating in both markets does not make the resulting signatures interchangeable. Ask which regime the particular signature is created under and how that meets the document’s requirement.

Lack of qualified equivalence does not by itself mean a foreign signature has no evidentiary value or that the agreement is invalid. It means the required status and legal effect need their own analysis. Where both regimes matter, obtain approval for an execution approach that satisfies the relevant requirements rather than choosing a single “international QES” label.

A checklist before you send

  1. Identify the document and legal context. List the contracting entities, document type, applicable law and any intended filing or receiving authority. Check mandatory rules and execution formalities rather than relying only on a governing-law clause.
  2. Confirm the required signature method. Have the legal or document owner specify whether ordinary electronic signing is appropriate, a qualified process is required, or witnessing, notarization or another route is needed.
  3. Check each person’s authority. A valid identity check or qualified certificate does not establish a representative’s power to bind a company. Use the company-signing authority checklist to record the approved capacity.
  4. Check the actual signing path. Confirm the selected regime, current eligibility, supported identity documents and any recipient steps. Test with the intended process before committing a deadline.
  5. Agree the receiving requirements. Ask what completed files and validation evidence the counterparty or receiving body needs. A successful PDF display is not itself proof that all required formalities are satisfied.
  6. Retain the record. Keep the completed original and supporting evidence under the required access and retention arrangements. Avoid editing the signed PDF merely to make its appearance match another system.

Choose the appropriate process in Sign.Plus

Sign.Plus documents a default electronic-signature option and qualified options under eIDAS and ZertES. Choose the option corresponding to the approved requirement, then confirm current availability and the recipient’s identification path before sending. The signature-options Help Center article describes those product choices.

Use clear recipient assignments and the approved signing sequence, and tell each person what they need to complete. Selecting a qualified option does not replace legal review of capacity, document exclusions or additional formalities. After completion, archive the signed document and its supporting evidence so the record can be reviewed later.

A US-led services example

Illustrative scenario: a New York consulting company contracts with an EU business and a Swiss group entity. Before sending, its contract owner checks which entities are parties, which law and mandatory requirements apply, whether the documents need different execution methods, and who is authorized to sign for each entity.

The team confirms the required signature process with the relevant reviewers, rather than assuming that one EU-qualified signature automatically satisfies a Swiss-qualified requirement. It then prepares the approved documents and retains the evidence associated with the chosen process. The scenario illustrates preparation decisions, not a legal conclusion for every three-country agreement.

FAQs

Does a US company need QES to sign with an EU customer?

gezinti çubuğu oku

Not automatically: determine the document’s applicable requirements and the parties’ approved execution process. An EU counterparty’s location alone does not make every agreement require a qualified electronic signature.

Is an EU QES automatically equivalent to a Swiss QES?

gezinti çubuğu oku

No: OFCOM’s guidance checked on November 5, 2026 states that no EU-Swiss mutual-recognition agreement has been concluded. Confirm which regime the document requires and whether the proposed signing process meets it.

Does a qualified signature prove authority to sign for a company?

gezinti çubuğu oku

No: a person’s identity and the qualified status of a signature are separate from their authority to bind an entity. Confirm that authority and any transaction-specific limits before sending.
